Transmeta Appoints Ralph J. Harms as Chief Financial Officer

SANTA CLARA, Calif.-- July 25, 2006--Transmeta Corporation, the leader in efficient computing technologies, today announced that Ralph J. Harms has joined the executive team as chief financial officer, effective today. Mr. Harms will report to Arthur L. Swift, president and CEO of Transmeta, and will be responsible for directing all aspects of the company"s financial management.

"Ralph has a proven track record as a public company CFO and extensive experience managing semiconductor and technology companies. We believe that his strong financial management expertise and solid industry knowledge will benefit our company and our stockholders."
Mr. Harms has more than 25 years experience in financial management and leadership at multiple public and private semiconductor and technology companies. From February 2004 to May 2006 he served as CFO of Force10 Networks, a privately held provider of high performance switching and routing equipment. Before that he served as CFO for Syndeo Corporation, a privately held provider of VoIP software. Between 1989 and 2001 Mr. Harms served as CFO for four Nasdaq-listed public technology companies: Autonomy Corporation, Flycast Communications, ESS Technology and SEEQ. Earlier in his career, he served on the financial management teams of Intel, Rockwell International and Xerox. Mr. Harms holds a B.S.E.E. degree from Michigan State University and an M.B.A. in finance and accounting from the University of Michigan.
