30.11.2007: Meldung: Agbar SA: sale of Applus+

- Agbar, Unión Fenosa and Caja Madrid today signed the sale of Applus+ to the fund management group The Carlyle Group for 1.480 billion euros

Agbar (53.1%), Unión Fenosa (25%) and Caja Madrid (21.9%), the shareholders of Applus+ until today, signed at midday the definitive contract for the sale of this company to the American fund management group The Carlyle Group and the company Volja Inversiones 2007, which brings together Caixa de Catalunya, Caixa de Sabadell, Caixa Manresa, Caixa Girona and the entrepreneurs Carlos Kinder, Roman Sanahuja, Andreu Costafreda and Juan Manuel Soler. The General Manager of Agbar, Angel Simón, signed the agreement on behalf of this company and Pedro de Esteban signed on behalf of The Carlyle Group.

The agreement which resulted in this definitive signing was reached on 24 July last. The operation for 100% of Applus+ is worth 1.480 billion euros. This makes it the biggest LBO operation carried out in Spain in the last two years. In 2006 Applus+ obtained operating revenues of 546 million euros and an EBITDA of 77 million euros.

Agbar values the operation very positively because the 541.6 million euros that it has received generate a net capital gain of some 210 million euros. This capital gain will allow it to obtain sufficient funds to continue growing in the Group’s two main sectors of activity, Water and Health, and to maintain the company’s traditional financial stability.

In line with this growth, Agbar recently signed an agreement with the Golden State Water Group Corporation to jointly manage two drinking water treatment plants and one wastewater treatment plant in the province of Jiangsu (China). The Group has likewise been shortlisted to manage water and wastewater in Jeddah (Saudi Arabia). Starting from January 2008, Agbar will also manage the water supply and wastewater of the Algerian city of Oran.
