4.3.2008: Meldung: GreenShift Corporation and GS AgriFuels Corporation Announce Short-Form Merger of GS AgriFuels
GreenShift Corporation and its agrifuels subsidiary, GS AgriFuels Corporation, today announced that on February 29, 2008, a wholly owned subsidiary of GreenShift filed a Certificate of Ownership and Merger merging the subsidiary into GS AgriFuels pursuant to the short-form merger provisions of Section 253 of the Delaware General Corporation Law. As a result of that filing, GreenShift Corporation became the owner of 100% of the outstanding shares of GS AgriFuels Corporation.
The Certificate of Ownership and Merger provides that shareholders of record of GS AgriFuels as of the close of business on February 29, 2008 will be paid cash equal to $0.50 per share. The payment date will be March 27, 2008.
The common stock of GS AgriFuels will continue to be listed for trading on the OTC Bulletin Board through March 27, 2008. Any shares that are sold after February 29, 2008 and prior to March 27, 2008 will be accompanied by a due bill, requiring the seller to transfer to the buyer the cash received from GS AgriFuels on March 27, 2008. On March 28, 2008 the common stock of GS AgriFuels will be delisted from the OTC Bulletin Board and will become non-transferable.
