Arise Technologies: Preliminary Prospectus Supplement
Arise Technologies Corporation, which is dedicated to becoming a leader in high-performance, high-quality, cost-effective solar technology, announced the filing of a preliminary prospectus supplement to its September 29, 2009 base shelf prospectus in connection with a non-brokered offering of up to $1,000,000 of Units. Each Unit consists of one common share and one common share purchase warrant. Pricing of the Units will be determined in the context of current market pricing. The share purchase warrants will expire two years following their issuance unless such expiry is accelerated in accordance with their terms.
ARISE expects that insiders of the company will subscribe for a significant portion of the Units offered in the offering. In conjunction with the private placement, ARISE understands that certain insiders who may subscribe for Units intend to sell privately or through the Toronto Stock Exchange ARISE common shares that they currently hold in order to fund their subscription for Units. Closing of the non-brokered offering is subject to final pricing, TSX approval and entering into of binding subscription agreements with subscribers.
