Biopetrol Industries AG: Extraordinary Shareholders’ meeting

The Shareholders of BIOPETROL INDUSTRIES AG have approved the proposal for an ordinary increase of the share capital through the issuance of 27,082,885 bearer shares of a nominal value of CHF 1.00 each at an issuance price of (rounded) CHF corresponding to EUR 1.530212 (rounded), converted at the average EUR/CHF conversion rate quoted on Bloomberg at 09.00 a.m. Swiss time. The new capital will be funded though an in kind contribution of all then issued and outstanding shares of Dutch Biodiesel B.V., Rotterdam.

The execution of the capital increase, and the exact calculation of the issuance price is expected to take place on December 22, 2010, in the form of a notarised Board of Directors’ Resolution in accordance with Article 652g Swiss Code of Obligations.

With its German, Dutch and Swiss subsidiaries, BIOPETROL INDUSTRIES AG, which has its head office in Baar (Switzerland), produces and sells biodiesel and pharmaceutical-grade glycerine of the highest quality. Among our customers are the oil industry and oil traders, large-scale fleet operators, public short-distance transport, as well as the agricultural and construction industries. The pharmaceuticals and cosmetics industries are in addition supplied with glycerine of pharmaceutical quality. BIOPETROL INDUSTRIES AG has annual production capacities in Schwarzheide, Rostock and Rotterdam of 750,000 tonnes of biodiesel and 90,000 tonnes of pharmaceutical-grade glycerine.

Dutch Biodiesel BV is a joint venture between Argos (40%) and Glencore (60%). Established in 2006, Dutch Biodiesel became a flexible producer of biodiesel, able to use multiple feedstock such as rapeseed oil and soybeen oil, with a capacity of 250,000 t/a. Dutch Biodiesel BV has a production facility in Rotterdam.
